Terms of Service
Please read these terms carefully before using the SKIUS platform.

These Terms of Service ("Terms") govern your access to and use of the SKIUS cloud ERP platform, website at skius.ru, related applications, and services (collectively, the "Service") operated by SKIUS ("we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
"Account" means a registered user profile and associated workspace (tenant) created to access the Service.
"Customer", "you", or "your" means the individual or legal entity that registers for or uses the Service.
"Authorized User" means an employee, contractor, or agent authorized by you to use the Service under your Account.
"Customer Data" means all data, content, and information submitted to or stored in the Service by you or your Authorized Users.
"Subscription" means a paid or trial plan that grants access to specified features of the Service for a defined period.
2. Description of the Service
SKIUS is a cloud-based enterprise resource planning (ERP) software platform that provides modules for purchasing, production, warehouse management, sales, analytics, and related business operations. Features, availability, and limits depend on your selected Subscription plan.
We may update, improve, or modify the Service from time to time. We will use reasonable efforts to notify you of material changes that adversely affect core functionality.
3. Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By registering, you represent that all information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account. You must notify us immediately at info@skius.ru of any unauthorized access or security breach.
Each organization may maintain one or more workspaces (tenants) as permitted by the Subscription. You may invite Authorized Users subject to your plan limits.
4. Subscription Plans, Fees, and Payment
Access to certain features requires a paid Subscription. Current plans, pricing, and billing periods are displayed on our website at skius.ru/tariffs and may change with notice as described in Section 15.
Fees are quoted in Russian rubles (₽) unless otherwise stated. Payment is due in advance for the selected billing period. Failure to pay may result in suspension or termination of access.
Unless required by applicable law, fees are non-refundable. If you cancel, access continues until the end of the current paid period; no prorated refunds are provided for unused time.
You are responsible for all applicable taxes, duties, and government charges associated with your Subscription, except taxes based on our net income.
5. Free Trial and Promotional Offers
We may offer free trials or promotional access at our discretion. Trial terms, duration, and feature limits will be specified at signup or on the website.
At the end of a trial, your Account may be converted to a paid Subscription if you provide payment details, or access may be limited or suspended until you subscribe. We may modify or discontinue trials at any time.
6. Acceptable Use
You agree to use the Service only for lawful business purposes and in compliance with these Terms and applicable laws. You must not:
- Use the Service to transmit malware, spam, or unlawful, harmful, or offensive content;
- Attempt to gain unauthorized access to the Service, other accounts, or related systems;
- Reverse engineer, decompile, or disassemble the Service except where expressly permitted by law;
- Resell, sublicense, or provide the Service to third parties without our written consent;
- Interfere with or disrupt the integrity or performance of the Service;
- Use automated means to scrape or extract data from the Service beyond permitted API use;
- Upload content that infringes intellectual property or privacy rights of others;
- Use the Service in violation of export control, sanctions, or anti-corruption laws.
We may investigate violations and suspend or terminate access without prior notice where we reasonably believe your use poses risk to the Service, other users, or third parties.
7. Intellectual Property
The Service, including software, design, documentation, trademarks, and all related intellectual property, is owned by SKIUS or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your Subscription for internal business purposes only.
You retain ownership of Customer Data. You grant us a worldwide license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service and as described in our Privacy Policy.
Feedback and suggestions you provide may be used by us without obligation or compensation to you.
8. Customer Data and Privacy
You are the controller of Customer Data and are responsible for its accuracy, legality, and for obtaining necessary consents from data subjects. Our processing of personal data is governed by our Privacy Policy, available at skius.ru/privacy, which is incorporated into these Terms by reference.
We implement appropriate technical and organizational measures to protect Customer Data. You are responsible for configuring access controls within your Account and for backups of data you export from the Service.
Upon termination, we will delete or return Customer Data within a reasonable period in accordance with our data retention practices, unless retention is required by law or you request earlier export.
9. Service Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be announced when practicable.
Support channels and response times depend on your Subscription plan. Standard support is available via info@skius.ru and through in-product help resources.
10. Third-Party Services
The Service may integrate with or link to third-party services (e.g., payment providers, identity providers). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party products or services.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, that operation will be uninterrupted or secure, or that errors will be corrected. You use the Service at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKIUS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
Our total aggregate liability for all claims arising under these Terms shall not exceed the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to liability, or one thousand Russian rubles (1,000 ₽) if no fees were paid, whichever is greater.
Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless SKIUS and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Customer Data or content you submit; (c) violation of these Terms or applicable law; or (d) dispute between you and your Authorized Users or third parties.
14. Suspension and Termination
You may cancel your Subscription at any time through account settings or by contacting info@skius.ru. Cancellation takes effect at the end of the current billing period unless otherwise agreed.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your license to use the Service ends and you must cease all use.
Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Changes to the Service and Terms
We may modify these Terms by posting an updated version on skius.ru/terms and updating the "Last updated" date. Material changes will be notified via email or in-product notice at least fourteen (14) days before they take effect, where practicable.
Continued use of the Service after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service and cancel your Subscription before the effective date.
16. Governing Law and Disputes
These Terms are governed by the laws of the Russian Federation, without regard to conflict-of-law principles.
Parties shall attempt to resolve disputes amicably within thirty (30) days of written notice. If unresolved, disputes shall be submitted to the competent courts at the place of registration of SKIUS, unless mandatory consumer protection rules require otherwise.
17. General Provisions
These Terms, together with the Privacy Policy and any order or plan description, constitute the entire agreement between you and SKIUS regarding the Service.
If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
